Association By-Laws

 

NAME:

The name of the Association is Tennessee High School Soccer Coaches Association, hereinafter referred to as T.H.S.S.C.A. 

PURPOSE:

The purpose of the Tennessee High School Soccer Coaches Association is to promote the sport of high school soccer across the State of Tennessee.  The T.H.S.S.C.A. is the official voice of high school soccer coaches to the Tennessee High School Athletic Association and works to recognize the statewide accomplishments of student-athletes, referees, and coaches.  The T.H.S.SC.A. also works to promote the professional development of high school soccer coaches.

 

MEMBERSHIPS:

Section I.         Membership is open to all high school soccer coaches.

A.        A High School and its varsity soccer coaches will become a member upon completion of the application form and payment of annual dues.

 

           

Section II.        The annual dues will be determined by the board of directors and will be payable to the T.H.S.S.C.A.

A.        Dues are payable annually from August 1 through October 31 of each year.

 

B.         Memberships are valid for one full year beginning August 1 through July 31.

 

C.        T.H.S.S.C.A. membership includes a NSCAA membershipA list of benefits is available at www. nscaa.com

 

BOARD OF DIRECTORS:

The executive authority of the Association will be its Board of Directors.

 

Section   I.        Qualifications: The Board of Directors will consist of: the Executive Board, Regional or District Directors and Chairpersons of standing committees appointed by the Executive Director.  Board of Directors may participate in association activities and have one vote on matters being considered by the Board.  Board of Directors are to be paid-up member of the T.H.S.S.C.A.

 

A.        The Executive Committee will consist of the Executive Director and voting representatives elected from among and by the Board of Directors,  i.e. Secretary,  Treasurer  and Representative Director(s).  The Executive Director and voting representatives are not required to be high school coaches in order to be an officer.

                                                           

B.        The standing committees will be Membership, High School Polls, Public Relations, Player Selection, Awards Banquet, Senior All-Star Game, Coaching Clinics and THSAA Relations.

 

C.        The total number of members of the Executive Committee shall not be less than five.

 

D.        The fiscal year of the T.H.S.S.C.A. will end July 31.

 

E.         The Executive Committee will meet at the call of the Executive Director or any two members thereof, quorum being three.

 

F.         The Outline of Duties will consist of a job description for each Director and may be updated as necessary.  This outline will be passed to successors-in-office.

 

Section II.         Voting.  Each member of the Board of Directors shall have one vote on matters being considered by the Board.

 

Section III.       Manner of Acting: The act of the majority of directors present at a meeting at which a quorum (one more than half the Board of Director membership) is present shall be the act of the Board of Directors.

 

Section IV.       Conflicts of Interest: A member of the Board of Directors will not be a participant in voting activities related to matters of dispute directly affecting a program and/or community he/she is connected with.

 

Section V.        Other Duties: The Board of Directors shall hear and rule on appeals from any of the corporate committees, and shall resolve any and all disputes within the association.

 

OFFICERS:

Section   I.        Number: The Board of Directors of the association shall be an Executive Director (Director of High Schools), Regional or District Directors, and Committee Chairpersons, and such other officers as may be appointed by the Executive Director.

 

Section II.        Executive Director: The Executive Director shall be the chief executive officer of the association and shall in general supervise and control all of the business and affairs of the association.  The Executive Director shall preside at all meetings of the members and of the Board of Directors.  He/She shall serve as an ex-officio member on all committees.  He/She may sign with the secretary or any other officer of the association there unto authorized by the Board of Directors any bonds, contracts, or other instruments which the Board of Directors have authorized to be executed except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by these by-laws to some other officer or agent of the association, or shall be required by law to be otherwise signed or executed; and in general shall perform all duties as may be prescribed by the Board of Directors from time to time.  In addition, the Executive Director shall represent this association and its member teams in meetings with other soccer associations.

 

The Executive Director is elected by the voting membership of the T.H.S.S.C.A., and shall serve the association for three year term.  Election of  the Executive Director will occur though a mail-in vote and shall occur in conjunction with the end of a fiscal year.  A member of the T.S.C.A. may serve no more than 2 consecutive terms as the Executive Director of the T.H.S.S.C.A.

                                   

 

Section III.       Treasurer: The Treasurer shall have charge and custody of and be responsible for all funds and securities of the association; receive and give receipts for money due and payable to the association in such trusts, companies, banks or other insured depositories as shall be selected in accordance with these by-laws; in general, perform all duties incident to the office of the treasurer and such other duties as from time to time may be assigned to the Treasurer by the Executive Director,  or by the Board of Directors.

                                   

The Treasurer shall be elected, by the Board of Directors, from among the members of the Board of Directors and shall serve a term the length of 2 years.  The treasurer shall not be able to serve consecutive terms.

 

  

Section IV.       Regional or District Directors: They shall keep harmonious relations between coaches throughout the state, with common interests.  They are responsible for gathering pertinent information of related value and importance to their group; communicating via phone or mail necessary information to the members; keep a running tally of team and league standings and other relevant statistics; be the liaison between the coach and the Board of Directors, if necessary.  A Public Relations Director in each region can be designated to help organize information.  Designated assistant are not members of the Board nor will have a vote on matters brought before the Board. Regional or District Directors shall be elected for a 2 year term by the voting membership of the T.H. S. S.C.A. in the district which he/she will be representing on the Board of Directors.  Regional or District Directors may serve for 2 consecutive terms.

 

Section V.        Removal: Any officer or agent elected by the T.H.S.S.C.A. membership may be removed by a two-thirds vote of the entire Board of Directors whenever, in its judgment, the best interest of the association would be served thereby.

 

Section VI.       Vacancy: A vacancy in any office because of death, resignation, removal may be filled by the appointment of the Executive Director for the unexpired portion of the term.

 

COMMITTEES:

Section   I.        Executive Committee: The business of the T.H.S.S.C.A. shall be conducted by an Executive Committee consisting of: Executive Director and the representatives of the Board of Directors (note BOARD OF DIRECTORS Section I A) and such other officers as may be appointed by the Board of Directors.

 

A.        Duties: The Executive Committee shall be responsible for (1) conducting the day-to-day business of the association, (2) preparation of a proposed program for the year to be presented to the board of Directors for approval, (3) preparation of a proposed budget for the year to be presented to the Board of Directors for approval, and (4) dealing with all matters pertaining to the finances of the T.H.S.S.C.A. subject to budget approval by the Board of Directors.

 

B.         Meetings: T.H.S.S.C.A. Executive Committee meetings; a majority of the Executive Committee members shall constitute a quorum for the transaction of business.  If a quorum is present, the vote of the majority at the meeting shall constitute an act of the Executive Committee.

 

Section II.       Standing Committee: The Executive Director shall appoint the members of rules, disciplinary, finance and such committees deemed necessary or appropriate to the efficient conduct of the association’s affairs, provided, however, that the chairperson of the standing committee named herein must then be a member of the Board of Directors of the association.

 

AMENDMENTS:

These by-laws may be altered, amended, or replaced and new by-laws may be adopted at any meeting of the Board by a two-thirds majority vote of the duly recognized voting members represented at the meeting, provided each proposed amendment must first be submitted to the Executive Director and Board of Directors at least thirty days prior to such a meeting.  However,  changes in by-laws related to length of office terms for members of the Board of Directors must be voted on by the T.H.S.S.C.A. membership, with at least 50% of the membership submitting votes in order for the vote to be considered binding.

 

ROBERT’S RULES OF ORDER:

The rules contained in the current edition of “Robert’s Rules of Order Newly Revised” shall govern the T.H.S.S.C.A. in all cases to which they are applicable and in which they are not inconsistent with these by-laws and any special rules or order the T.H.S.S.C.A. may adopt.

 

SEASONAL MEETINGS:

A girls’ meeting will be held on the off- day during the girls’ state championships and the same for the boys. Purpose of such meeting is to select All-America, All-Ssouth, All Regional, etc. players and coaches of the year. District/Regional and team representatives need to be at this meeting to vote for their players.

 

ANNUAL CLINIC:

The Board will work on having an annual clinic each year to help coaches stay current with new trends in coaching.

 

BANQUET:

To recognize players, coaches, referees, administrators.
